What are the key responsibilities of an Executive Director (Company Secretary)?

The incumbent will be responsible for leading and managing major functions of the Company Secretary Department. This includes establishing and driving the implementation of Corporate Governance norms to ensure transparency in all operations. Key duties involve ensuring timely compliance with matters related to the issuance of shares, their transfer, and transmission. The role also requires ensuring compliance with amendments in applicable laws or new laws applicable to the Company, and adhering to circulars issued by SEBI/Depositories/Exchange from time to time. Coordination with RTAs, depositories, SEBI, and Stock Exchanges is also a part of the role. Matters pertaining to shareholder's servicing, Demat, Remat, and Issue of Share certificates are also handled. The role involves conducting periodic and timely Board meetings, Committee meetings, Annual General meetings, and all formalities proceeding and succeeding such meetings. Handling Secretarial audit & Corporate Governance Audit under the Companies Act read with Listing regulations, NBFC regulations & DPE Guidelines is crucial. Monitoring Insider Trading covering trading window closure is also a responsibility.

What specific experience is required for this role?

The role requires 23 years of experience in an executive level and present working experience of a minimum of 01 (one) year in the Scale of Pay of Rs.120000-280000 and above or equivalent. This experience should be in the area of Corporate Affairs & Company Secretariat in Financial Institutions/ NBFCs/ Public Sector Organizations/ Central Govt/ State Govt/ Private Sector. Experience in Listed Organizations is mandatory, and experience in ERP applications is preferable. Out of the total 23 years of experience, at least 15 years must be in a listed company.

What are the educational qualifications for this position?

The essential qualification is being an Associate Member of the Institute of Company Secretaries of India. Desirable qualifications include a Degree in Law/CA/CMA/MBA or a Post-Graduate Diploma in Management or equivalent in Finance from a Recognized University/Institution.

What is the pay scale and CTC for this role?

The Scale of Pay is Rs.150000-300000. The CTC should not be below Rs. 61.87 Lakhs per year for candidates presently working in the Private Sector.

What are the age limits for this position?

The maximum age limit is 55 years.

What are the areas of experience that are considered valuable for this role?

Area of Experience includes organizing meetings of the Board of Directors and Shareholders, compilation of Notices/Agendas/Minutes of the Board/General meetings, and maintenance of records/registers as per the Company Law. Filing of Returns as per the Companies Act is also part of the experience. The candidate should be conversant with the requirements of Listing Agreements and compliances under the Companies Act relating to Joint Ventures/subsidiaries. A thorough understanding of the provisions and regulations of the Company Act, RBI, and SEBI rules & regulations, and the relevant statutory framework is essential. The incumbent should possess thorough knowledge of matters pertaining to Institutional Finance, Company Law, Corporate, and Secretarial functions.
